Welcome to Transcriptum ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, transcription services, and related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.
1. Acceptance of Terms
By creating an account, accessing, or using Transcriptum, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Transcriptum provides AI-powered transcription services for audio and video content, including:
- Transcription of audio and video files
- URL-based transcription from video platforms (YouTube, TikTok, etc.)
- Speaker diarization and customizable speaker labels
- AI-powered analysis features (summaries, Q&A, topics, key themes, insights, fact-checking, sentiment analysis, action items)
- Multiple LLM providers (OpenAI, Google Gemini, DeepSeek) for analysis features
- Export capabilities in multiple formats (TXT, SRT, VTT, DOCX)
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice.
3. User Accounts
3.1 Account Registration
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your account information to keep it accurate
- Maintain the security of your account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
3.2 Account Eligibility
You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent's or guardian's permission to use the Service.
4. Subscription and Billing
4.1 Subscription Plans
We offer subscription plans (Basic, Pro, Premium) with different features and transcription limits. Basic plan includes 1,500 minutes/month, Pro includes 2,000 minutes/month, and Premium includes unlimited transcription. Each plan includes different AI analysis features. Subscription details, pricing, and features are available on our pricing page and may change with 30 days' notice.
4.2 Billing and Payment
- Subscriptions are billed monthly or annually based on your selected plan
- Payment is due in advance for each billing period
- All fees are non-refundable except as required by law or as stated in our refund policy
- You are responsible for all applicable taxes
- We may change our pricing with 30 days' notice
4.3 Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods, except as required by law or at our discretion. We offer a 30-day money-back guarantee for new subscriptions.
5. Acceptable Use
You agree not to:
- Upload, transmit, or process any content that is illegal, harmful, threatening, abusive, or violates any laws
- Upload content that infringes on intellectual property rights, privacy rights, or other rights of others
- Upload content containing malware, viruses, or other harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Service or servers connected to the Service
- Use the Service for any commercial purpose not authorized by us
- Reverse engineer, decompile, or attempt to extract the source code of our Service
- Use automated systems (bots, scrapers) to access the Service without permission
- Exceed your subscription limits or attempt to circumvent usage restrictions
6. Content and Intellectual Property
6.1 Your Content
You retain ownership of all content you upload to the Service. By uploading content, you grant us a limited, non-exclusive, worldwide license to use, process, and store your content solely to provide the Service. We do not claim ownership of your content.
6.2 Our Content
The Service, including its design, features, functionality, and all content created by us (excluding your uploaded content), is owned by Transcriptum or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
6.3 Transcription Results
Transcription results and analysis generated by our Service (including summaries, Q&A, topics, insights, fact-checks, sentiment analysis, key themes, and action items) are provided for your use. You own the transcription results of your content, subject to these Terms. We use multiple AI providers (OpenAI, Google Gemini, DeepSeek) to generate analysis results.
7. Service Availability and Modifications
We strive to maintain high availability but do not guarantee uninterrupted, error-free, or secure operation of the Service. We may perform maintenance, updates, or modifications that may temporarily interrupt the Service. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.
8. Accuracy and Disclaimers
While we use advanced AI technology to provide accurate transcriptions, we cannot guarantee 100% accuracy. Transcription accuracy depends on various factors including audio quality, background noise, accents, and speaking speed. You are responsible for reviewing and verifying transcription results for accuracy.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSCRIPTUM AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
10. Indemnification
You agree to indemnify, defend, and hold harmless Transcriptum and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to your use of the Service, your content, your violation of these Terms, or your violation of any rights of another party.
11. Termination
11.1 Termination by You
You may terminate your account at any time by deleting your account through your account settings or by contacting us.
11.2 Termination by Us
We may suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms, engage in fraudulent or illegal activity, or for any other reason we deem necessary to protect the Service or other users.
11.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. We may delete your account and data, though some information may be retained as required by law or for legitimate business purposes.
12. Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Transcriptum operates, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction, as applicable.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and may delete your account.
14. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Transcriptum
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect
- Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision
- Assignment: You may not assign or transfer these Terms or your account without our written consent
