These Terms and Conditions ("Terms") govern your access to and use of the Transcriptum website and services (the "Service"). Please read these Terms carefully before using our Service. By accessing or using Transcriptum, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Agreement to Terms

By accessing or using Transcriptum, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, our Terms of Service, and our Privacy Policy. These documents together constitute a legally binding agreement between you and Transcriptum.

2. Eligibility and Account Requirements

To use Transcriptum, you must:

  • Be at least 13 years of age (or have parental consent if under 18)
  • Have the legal capacity to enter into binding agreements
  • Provide accurate and complete information when creating an account
  • Maintain the security of your account credentials
  • Be responsible for all activities under your account

3. Acceptable Use Policy

You agree to use Transcriptum only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Upload, transmit, or process any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Upload content that infringes on copyright, trademark, patent, trade secret, or other intellectual property rights of any party
  • Upload content that violates privacy rights, publicity rights, or other rights of individuals
  • Upload content containing viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to our systems, networks, or other users' accounts
  • Interfere with or disrupt the Service, servers, or networks connected to the Service
  • Use automated systems (bots, scrapers, scripts) to access the Service without explicit permission
  • Attempt to reverse engineer, decompile, or extract source code from the Service
  • Use the Service to violate any applicable local, state, national, or international law or regulation
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
  • Collect or harvest information about other users without their consent
  • Exceed your subscription limits or attempt to circumvent usage restrictions

4. Service Availability and Modifications

While we strive to provide reliable and continuous service, Transcriptum does not guarantee uninterrupted, error-free, or secure operation. The Service may be unavailable due to:

  • Scheduled maintenance and updates
  • Unscheduled downtime due to technical issues
  • Force majeure events (natural disasters, cyber attacks, etc.)
  • Third-party service disruptions

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We are not liable for any loss or damage resulting from Service unavailability.

5. Subscription Terms and Billing

5.1 Subscription Plans

Transcriptum offers subscription plans (Basic, Pro, Premium) with varying features and transcription limits. Basic plan includes 1,500 minutes/month, Pro includes 2,000 minutes/month, and Premium includes unlimited transcription. Each plan includes different AI analysis features (summaries, Q&A, topics, key themes, insights, fact-checks, sentiment, action items). Subscription details are available on our pricing page. We reserve the right to modify plans, features, and pricing with 30 days' notice.

5.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law or stated in our refund policy
  • You are responsible for all applicable taxes
  • Failed payments may result in Service suspension
  • Price changes will be communicated 30 days in advance

5.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods unless required by law.

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of all content you upload to Transcriptum. By uploading content, you grant us a limited, non-exclusive license to use, process, and store your content solely to provide the Service. You represent and warrant that you have all necessary rights to upload and process the content.

6.2 Our Content

All content, features, and functionality of the Service (excluding your uploaded content) are owned by Transcriptum or our licensors and are protected by copyright, trademark, and other intellectual property laws. This includes our transcription technology (WhisperX), AI analysis features, and integration with third-party LLM providers. You may not copy, modify, distribute, or create derivative works without our written permission.

7. Accuracy and Disclaimers

While we use advanced AI technology (WhisperX for transcription, and multiple LLM providers including OpenAI, Google Gemini, and DeepSeek for analysis) to provide accurate transcriptions and analysis, we cannot guarantee 100% accuracy. Transcription accuracy depends on various factors including audio quality, background noise, accents, speaking speed, and language complexity. AI analysis results (summaries, Q&A, topics, insights, fact-checks, sentiment, key themes, action items) are generated by AI models and may contain inaccuracies. You are responsible for reviewing and verifying transcription and analysis results.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSCRIPTUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Transcriptum, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service, your content, your violation of these Terms, or your violation of any rights of another party.

10. Termination

10.1 Termination by You

You may terminate your account at any time by deleting your account through account settings or by contacting us.

10.2 Termination by Us

We may suspend or terminate your access immediately, without notice, if you violate these Terms, engage in fraudulent activity, or for any reason we deem necessary to protect the Service or other users.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your account and data, though some information may be retained as required by law.

11. Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Transcriptum operates, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration or in courts of competent jurisdiction, as applicable.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms and Conditions, together with our Terms of Service and Privacy Policy, constitute the entire agreement between you and Transcriptum regarding the Service and supersede all prior agreements and understandings.
